RAGT and KWS, private companies counting among the European leaders of the field crop seed market, have decided to work in close collaboration in order to better build up their development in their seed activities.

Through this collaboration RAGT and KWS will mutually complete their commercial offer for the following species : Maize, Sunflower, Sorghum, Soybean, Rapeseed, Forage Grasses and Legumes. The benefits which are expected in this domain are particularly important for the Maize activity where each company represents strong and totally complementary positions on both main European markets France and Germany. This collaboration will lead both partners to consider addressing together the emergent markets and particularly those of Central Europe. On the other hand both partners emphasize that this alliance totally respects the agreements which have already signed respectively with Dekalb and Semences de France.

On the research level, the partners have chosen to maintain the independence of their organizations which will lead to an optimization of the genetic diversity of their programs. Their elite germplasm will be exchanged in order to make the best possible use of the specific strengths and approaches.

In Biotechnology RAGT and KWS also announce the creation of a common Platform which will consist in sharing reflexions and actions enabling - owing to the contribution of those new technologies - the improvement of the quality of the varieties that both partners will place at farmers' disposal.

In order to materialize and to optimize this alliance, RAGT and KWS have therefore decided to create on each side a legal identity in which their respective seed activities outside research will be placed. This concerns Corn, Sunflower, Sorghum, Soybean, Rapeseed, Forage Grasses and Legumes. As soon as the legal steps are settled and in any case within the year 1999, both companies will exchange 34 % of their shareholders equity.

Les deux Sociétés privées R.A.G.T. et K.W.S., qui comptent parmi les leaders européens du marché des semences de grande culture, ont décidé de se rapprocher pour mieux construire leur développement dans leur métier de semenciers.

A travers cette coopération R.A.G.T. et K.W.S. compléteront mutuellement leur offre commerciale pour les espèces : Maïs, Tournesol, Sorgho, Soja, Colza, Graminées et Légumineuses fourragères. Les bénéfices attendus en ce domaine sont particulièrement importants dans l'activité Maïs où les deux Sociétés représentent chacune des positions fortes et totalement complémentaires sur les deux principaux marchés européens France et Allemagne.

Cette collaboration conduira les partenaires à aborder ensemble la conquête des marchés émergents et en particulier ceux de l'Europe Centrale. Par ailleurs, les 2 partenaires soulignent que cette alliance respecte totalement les accords déjà contractés respectivement avec Dekalb et Semences De France.

Au plan de la recherche les partenaires ont choisi de maintenir l'indépendance de leur dispositif visant ainsi à optimiser la diversité génétique et la créativité de leurs programmes. Leur matériel génétique élite sera échangé afin de tirer le meilleur parti des forces et approches spécifiques de chacun.

R.A.G.T. et K.W.S. annoncent également dans le domaine de la biotechnologie la création d'une plate-forme commune qui aura pour objet de partager toutes réflexions et actions permettant grâce à l'apport de ces nouvelles technologies d'améliorer la qualité des variétés que les deux
partenaires mettront à disposition des agriculteurs.

Afin de matérialiser et d'optimiser cette alliance R.A.G.T. et K.W.S. ont par ailleurs décidé de créer chacune une identité juridique dans laquelle sera hébergé l'ensemble de leurs activités respectives semences à l'exception de la recherche et concernant les espèces Maïs, Tournesol, Sorgho, Soja, Colza, Graminées et Légumineuses fourragères. Ces deux entités échangeront 34 % de leur capital dès que les structures juridiques seront en place au cours de l'année 1999.

Die Unternehmen KWS und R.A.G.T., die beide zu den führenden Saatgutfirmen in Europa zählen, haben am 8. Dezember 1998 in Paris eine Vereinbarung unterzeichnet, in der sie die
Absicht einer engen Zusammenarbeit in den Bereichen Mais, Sonnenblumen, Körnerraps, Sorghum, Sojabohnen, Gräser und Leguminosen erklären. Ziele dieser Kooperation sind gemeinsame Aktivitäten in Vertrieb und Produktion sowie die Gründung von Gemeinschafts- unternehmen, in denen die o.g. Saatgutaktivitäten beider Unternehmen in einzelnen Bereichen zusammengefaßt werden.

Ein besonderer Vorteil in der Zusammenarbeit wird für den Bereich Mais erwartet, in dem beide Unternehmen in den jeweiligen europäischen Hauptmärkten Frankreich und Deutschland eine führende Position einnehmen. Die bestehenden Verbindungen von KWS und R.A.G.T. zu Semences de France bzw. DeKalb bleiben von der neuen Partnerschaft unberührt.

KWS und R.A.G.T. werden ihre Vertriebs- und Produktionsaktivitäten für die oben genannten Pflanzenarten in eigene Gesellschaften ausgliedern und planen, nach Klärung der dafür notwendigen rechtlichen Schritte im Laufe des Jahres 1999 wechselseitige Beteiligungen in Höhe von 34% zwischen diesen Unternehmen einzugehen.

Auf Ebene der Produktentwicklung beabsichtigen KWS und R.A.G.T., ihre Züchtungsarbeiten gezielt zu koordinieren, wobei auch Sortenkomponenten ausgetauscht werden sollen. Die Biotechnologie soll mit Hilfe einer gemeinsamen Forschungs-Plattform zur züchterischen
Weiterentwicklung von Pflanzen effektiv genutzt und gemeinsam weitergebracht werden.

Nach Auffassung von Dr. Andreas J. Büchting, Vorstandssprecher der KWS, „ergänzen sich die Stärken der beiden Unternehmen in ihren jeweiligen Kernmärkten Deutschland und Frankreich in idealer Weise. In einem sich weiterentwickelnden Europa setzen wir große Erwartungen in
