Landec seed subsidiary signs licensing agreement with Incotec International BV - Incotec to market Intellicoat® Pollinator Plus® seed coating to EU seed companies for hybrid seed corn production

Menlo Park, California
February 25, 2003

Landec Corporation (Nasdaq:LNDC) a developer and marketer of technology-based polymer products for food, agricultural and licensed partner applications, announced today that it's seed subsidiary, Landec Ag, Inc., a leader in the development of functional polymer seed coatings, and Incotec International BV, a recognized world leader in seed coating and seed enhancement technologies, have signed a joint licensing agreement that will make Intellicoat(R) Pollinator Plus(R) coatings available to the European Union market.

"This is a significant step in the commercial development of our technology," stated Tom Crowley, Landec Ag's President. "Incotec is a world leader in seed enhancement technology. They have recognized seed technology competencies, and will provide the coating process technology, technical support and marketing needed to expand the use of Pollinator Plus in Europe. We expect this to be the beginning of a significant long-term strategic partnership between our companies."

Included in the terms of the joint licensing agreement are a supply agreement and a royalty agreement. Under the supply agreement, Landec Ag will sell the Pollinator Plus coatings to Incotec, who will coat seeds at its production location in Enkhuizen, Netherlands for European seed companies. Landec Ag will also receive a royalty on the net sales value of products sold by Incotec.

Jan Willem Breukink, Incotec's General Manager said, "We are excited to be involved with Landec Ag. Pollinator Plus coatings are a valuable technology for seed corn producers and this agreement is our first step in working with Landec Ag's line of Intellicoat functional polymer seed technologies. We hope to expand our use of other Intellicoat applications in the future."

Intellicoat seed coatings are based on proprietary polymers, which can be set to change their physical characteristics with specific changes in temperature. Intellicoat seed coatings function to regulate water uptake of seeds and seed germination based on soil temperature.

The Intellicoat Pollinator Plus coatings are designed to predictably delay the germination of male inbred seed in order to widen the pollination window for seed corn producers. Commercially available for the last three years in the U.S., Pollinator Plus coatings allow seed companies to minimize risk and reduce costs in the production of hybrid seed corn. U.S. seed companies have rapidly increased their use of this technology in recent years, with thirty major U.S. seed companies using Pollinator Plus coatings on approximately 60,000 acres in 2002. U.S. sales of Pollinator Plus are expected to increase over 30% to reach 80,000 acres in 2003. Now, Pollinator Plus coatings will be available for the first time to seed producers in Europe.

Another patented Intellicoat application, which is not part of the Incotec/Landec Ag joint licensing agreement, is Early Plant(TM) seed corn coating, which is now commercially available in the United States. The Early Plant seed corn coating effectively controls germination of seed corn in cold, early spring soils. When the soil temperature is too cold for healthy seedling growth, the coating protects the seed and restricts it from taking in enough water to germinate. Once the soil temperature warms, the coating changes, allowing water to permeate the seed, promoting germination under optimum conditions. Intellicoat Early Plant seed coating was sold under a commercial trial program in 2002. Sales of the Intellicoat Early Plant seed corn coating are projected to more than triple from 13,000 acres in 2002 to over 40,000 acres in 2003.

About Landec Corporation

Landec Corporation designs, develops, manufactures and sells temperature-activated and other specialty polymer products for a variety of food, agricultural and licensed partner applications. The Company's temperature-activated polymer products are based on its proprietary Intelimer(R) polymers which differ from other polymers in that they can be customized to abruptly change their physical characteristics when heated or cooled through a pre-set temperature switch. The Intelimer polymers are the basis for Landec Corporation's subsidiaries products, including Landec Ag's Intellicoat line of seed coating products and Landec's food technology subsidiary, Apio Inc.'s Intellipac(TM) specialty packaging products.
