COMMENTS ON THE CONSOLIDATED
SALES
The consolidated sales of
Vilmorin Clause & Cie.
on March 31st 2004, at the end of the third quarter for the
fiscal year 2003-2004, stood at 364.3 million euros, an increase
of 14% compared to the same period last year.
At constant currency rates, this represents an evolution of +
18.3%.
The main variations in scope recorded since the beginning of the
year concern the following:
- in July 2003, Vilmorin Clause & Cie took a majority stake in
the Israeli company Hazera Genetics, whose accounts since that
date have been consolidated using the global integration method,
- in conjunction with its parent company Limagrain, Vilmorin
Clause & Cie has set up an insurance scheme through a captive
reinsurance company in order to perfect its cover of risks with
regard to civil responsibility and intellectual property. Thus,
as from today, Vilmorin Clause & Cie will be consolidating this
reinsurance company it has acquired in conjunction with
Limagrain Agro-Industrie using the proportional integration
method,
- as from this third quarter, Vilmorin Clause & Cie will, using
the global integration method, be consolidating the German
company Carl Sperling & Co which it took over on January 1st
2004.
Restated for all scope and currency variations, consolidated
sales for the first nine months of the fiscal year 2003-2004
have increased by 5.2 % compared to the previous fiscal year.
COMMENTS ON SALES BY DIVISION
At the end of March 2004, sales for the Home Garden Division
were 158.1 million euros, roughly the same level as for the
previous year.
At constant scope and currency, these sales show an increase of
1.2%.
After a first half year adversely affected by the heat wave
which hit Europe last summer, the Home Garden Division has
worked back up to a rate of growth globally on line with its
objectives, with the excellent performance of our North American
company Ferry Morse counterbalancing the difficulties
experienced by Flora Frey on the German market.
At the end of the third quarter, the Professional Division
recorded sales of 206.2 millions euros, an increase of 28%
compared with the previous year.
Restated for monetary effects, especially for the US dollar and
the yen, the evolution of sales is 33.7%.
At constant scope and currency, this evolution is 8.6%.
During this third quarter all the companies confirmed the
excellent business performances recorded over the first half of
the fiscal year, both on their domestic markets and
internationally. Our Japanese company Kyowa Seeds continued to
redynamize and reorganize its business during this quarter,
focusing its product ranges on seeds.
OUTLOOK
Sales for the first nine months of the fiscal year represent, on
average, three quarters of the annual sales of Vilmorin Clause &
Cie.
Sales recorded at the end of March, pre-booked orders, and a
clear picture of business for the fourth quarter all confirm
that Vilmorin Clause & Cie will reach its sales objectives, at
constant currency rates, and that its profits will finish higher
than those forecast at the beginning of the year.
CORPORATE GOVERNANCE
The Board of Directors of Vilmorin Clause & Cie, presided by
Gérard RENARD, has just decided to appoint Daniel CHERON to the
function of Director and CEO to replace Pierre LEFEBVRE who is
leaving the Group.
At the same meeting the Board expressed its determination to
pursue the same principles and strategic objectives of Vilmorin
Clause & Cie in order to enable the Group to consolidate its
position as world leader both in the Home Garden and
Professional sectors, and to provide its shareholders with
sustainable perspectives for regular growth.

perspectives pour l'exercice 2003-2004: progression de 14 % à
données constantes du chiffre d'affaires à l'issue du troisième
trimestre
COMMENTAIRES SUR LE CHIFFRE
D’AFFAIRES CONSOLIDE
Le chiffre d’affaires consolidé de Vilmorin Clause & Cie au 31
mars 2004, à la fin du troisième trimestre de l’exercice
2003-2004, s’élève à 364,3 millions d’euros, en progression de
14 % par rapport à la même période de l’exercice précédent.
A taux de change constants, cette évolution ressort à + 18,3 %.
Les principales variations de périmètre enregistrées depuis le
début de l’exercice sont les suivantes :
- en juillet 2003, Vilmorin Clause & Cie a pris le contrôle
majoritaire de la société israélienne Hazera Genetics, dont les
comptes sont depuis cette date consolidés par la méthode
d’intégration globale,
- en conjonction avec sa société mère Limagrain, Vilmorin Clause
& Cie a mis en place, au travers d’un montage captif, un
programme d’assurance afin de parfaire la couverture de ses
risques en matière de responsabilité civile et de propriété
intellectuelle. Ainsi, Vilmorin Clause & Cie consolide
désormais, par intégration proportionnelle à 50 %, la société de
réassurance acquise conjointement avec Limagrain Agro-Industrie,
- à compter de ce troisième trimestre, Vilmorin Clause & Cie
consolide, en intégration globale, la société allemande Carl
Sperling & Co dont elle a pris le contrôle au 1er janvier 2004.
Retraitée des effets de variations
de devises et de périmètre, l’évolution du chiffre d’affaires
consolidé à l’issue des neuf premiers mois de l’exercice
2003-2004 est de + 5,2 % par rapport à l’exercice précédent.
COMMENTAIRES SUR LE CHIFFRE
D’AFFAIRES PAR BRANCHE
A fin mars 2004, le chiffre d’affaires de la Branche Grand
Public s’établit à 158,1 millions d’euros, stable par rapport à
l’année précédente.
A périmètre et taux de change constants, ce chiffre d’affaires
affiche une progression de 1,2 %.
Après un premier semestre affecté par les conditions
caniculaires relevées durant l’été dernier sur le continent
européen, la Branche Grand Public recouvre un rythme de
croissance globalement en ligne avec ses objectifs, l’excellente
performance de la société américaine Ferry Morse étant notamment
contre-balancée par les difficultés rencontrées par Flora Frey
sur le marché allemand.
A la fin du troisième trimestre, la Branche Professionnelle
enregistre un chiffre d’affaires de 206,2 millions d’euros en
progression de 28 % par rapport à l’exercice précédent .
Corrigée des effets monétaires notamment pour le dollar
américain et le yen, l’évolution de ce chiffre d’affaires est de
33,7 %.
A périmètre et taux de change constants, cette progression est
de 8,6 %.
Au cours du troisième trimestre, l’ensemble des sociétés ont
confirmé l’excellente orientation de leurs activités, constatée
dès le premier semestre de cet exercice, tant sur leurs marchés
domestiques qu’à l’international. De son côté, la société
japonaise Kyowa Seeds continue d’enregistrer, au cours de ce
trimestre, le redémarrage et la réorientation de ses activités
au profit des semences potagères.
PERSPECTIVES
Le chiffre d’affaires réalisé sur les neuf premiers mois de
l’exercice représente en moyenne saisonnalisée trois quarts des
ventes annuelles de Vilmorin Clause & Cie.
Les chiffres d’affaires enregistrés à fin mars, les carnets de
commandes, ainsi que la bonne visibilité sur l’activité du
quatrième trimestre permettent à Vilmorin Clause & Cie d’une
part de confirmer l’atteinte de ses objectifs de chiffre
d’affaires, à devises constantes, et d’autre part d’envisager
une progression de ses résultats au-delà des perspectives
annoncées en début d’exercice.
GOUVERNEMENT D’ENTREPRISE
Le Conseil d’Administration de Vilmorin Clause & Cie, présidé
par Gérard RENARD, a décidé de nommer Daniel CHERON aux
fonctions d’Administrateur Directeur Général Délégué en
remplacement de Pierre LEFEBVRE qui quitte le Groupe.
Le Conseil d’Administration exprime à cette occasion sa volonté
de poursuivre, dans la continuité, les principes et les
objectifs stratégiques de Vilmorin Clause & Cie qui lui
permettront de consolider sa position de leader mondial tant en
