Vilmorin précise les modalités de son désengagement du marché grand public
Vilmorin provides more details of the terms of its withdrawal from the home garden market

Vilmorin a présenté en octobre dernier le projet de cession de ses activités grand public (semences et produits de jardin).
Cet ensemble constitué des sociétés Oxadis (France), Flora Frey et Sperling (Allemagne), CNOS Vilmorin (Pologne) et Suttons (Royaume-Uni) a réalisé en 2006-2007 un chiffre d’affaires total de 142 millions d’euros.

A l’issue d’appels d’offres réalisés auprès d’investisseurs financiers et d’acteurs industriels du marché du jardinage et du bricolage, Vilmorin a décidé de retenir un schéma de cession séparée en trois pôles opérationnels.

Accord de cession d’Oxadis et de CNOS Vilmorin en voie de finalisation

Vilmorin et le groupe Plan SAS(1) viennent de parvenir à un accord portant sur la reprise des sociétés Oxadis et CNOS Vilmorin, sur la base d’une valeur globale d’entreprise de près de 60 millions d’euros.

La mise en oeuvre de cet accord prévoit la cession préalable à Oxadis des fonds de commerce et des marques spécifiquement dédiées au marché grand public (Vita, France Graines …), qu’elle exploite actuellement en location gérance.
Quant aux marques utilisées prioritairement pour les activités professionnelles (notamment Vilmorin et Clause), elles restent naturellement la propriété du groupe Vilmorin et feront l’objet de licences d’exploitation de longue durée, limitées aux activités grand public, au profit du groupe Plan SAS.

L’objectif est de finaliser l’opération avant le 30 juin 2008, sous réserve des consultations préalables des institutions représentatives du personnel et de l’approbation des différents conseils d’administration concernés.

(1) Basé en France, Plan SAS est un groupe horticole et semencier privé figurant parmi les principaux acteurs du marché européen. Forte d’un effectif de 350 salariés, l’entreprise a réalisé en 2007 un chiffre d’affaires de 47 millions d’euros.

Négociation avancée pour la cession de Flora Frey et de Sperling

Vilmorin est en cours de négociation d’une offre ferme de reprise des sociétés Flora Frey et Sperling.
Devant encore être soumise à l’avis préalable des institutions représentatives du personnel, cette offre devrait permettre la poursuite de la réorganisation industrielle et commerciale des deux entreprises, lancée au Printemps 2005.

Sous réserve des consultations préalables des instances représentatives du personnel et de l’autorisation des conseils d’administration concernés, la conclusion d’un accord final pourrait intervenir avant le 30 juin 2008.

Offres de reprise en cours d’analyse pour Suttons

La société Suttons a fait l’objet, au Royaume-Uni, de plusieurs offres de reprise, en provenance d’opérateurs financiers ou industriels.
Le processus de cession se poursuit et a pour objectif d’être finalisé avant le 31 décembre 2008.

Vilmorin provides more details of the terms of its withdrawal from the home garden market

Last October Vilmorin presented its project to sell its home garden activities (seeds and garden products).

This group of companies, comprising Oxadis (France), Flora Frey and Sperling (Germany), CNOS Vilmorin (Poland) and Suttons (United Kingdom) made total sales of 142 million euros in fiscal 2006-2007.

Following the different calls for bids issued for financial investors and industrialists from the gardening and DIY markets, Vilmorin has decided to sell the activity in three separate operational business units.

Agreement on the sale of Oxadis and CNOS Vilmorin almost completed

Vilmorin and the group Plan SAS(1) have just reached an agreement concerning the takeover of the companies Oxadis and CNOS Vilmorin, on the basis of a global value of 60 million euros.

Implementation of this agreement would involve the prior sale to Oxadis of the goodwill and brands specifically dedicated to the home garden market (Vita, France Graines …), which Oxadis currently exploits through a lease management agreement.
The brands used as a priority for the professional activities (particularly Vilmorin and Clause) will naturally remain the property of the Vilmorin group and will be licensed out to the group Plan SAS for long-term exploitation, limited to the home garden activities.

The objective is to finalize the operation before June 30th 2008, after prior consultation with the organizations representing the personnel and approval from the different boards of directors concerned.

Well-advanced negotiations for the sale of Flora Frey and Sperling

Vilmorin is currently negotiating a firm take-over bid for the companies Flora Frey and Sperling. This bid, which still needs to be submitted for prior consultation with the organizations representing the personnel, should facilitate the continuing industrial and commercial reorganization of the two companies, launched in the spring of 2005.
The close of this agreement, subject to these prior consultations with organizations representing the personnel and approval from the boards of directors concerned, may well be achieved by June 30th 2008.

Takeover bids for Suttons being analyzed

Several takeover bids have been made for the company Suttons in the United Kingdom, both from financial and industrial operators.
The process to sell the company is continuing with the objective of reaching a close by December 31st 2008.
