Syngenta announced today the signing of an agreement to acquire from Monsanto its global hybrid sunflower seeds activities for a consideration of $160 million, on a cash and debt-free basis. The asset deal includes germplasm, development and breeding of hybrid sunflower seeds. The business recorded sales of $75 million in the 2008 fiscal year and has leading positions in key markets. Syngenta’s sunflower seeds business is the global market leader with sales of more than $200 million in 2008.

“This acquisition is an excellent addition to our global sunflower business. These activities will further strengthen our position in Europe and Latin America, key regions for growing sunflowers, and expand the range of our offer to growers,” said Davor Pisk, Chief Operating Officer Syngenta Seeds.

Sunflower oil is a high value vegetable oil which is low in saturated fats and mostly used in food applications. Globally, sunflowers are grown on around 24 million hectares. Major sunflower producing countries are Russia, Ukraine, Argentina, France and Central Europe. The sunflower seeds market is currently valued at around $700 million with more than 75% of the value coming from developing markets.

The transaction is subject to the approval of regulatory authorities.

Im Geschäftsjahr 2008 verzeichnete Monsanto mit diesen Aktivitäten einen Umsatz von USD 75 Millionen und nahm führende Positionen in wichtigen Märkten ein. Syngenta ist weltweit führend in Sonnenblumensaatgut und erzielte im Jahr 2008 in diesem Bereich einen Umsatz von mehr als USD 200 Millionen.

„Diese Akquisition ist eine ausgezeichnete Ergänzung zu unserem führenden, weltweiten Sonnenblumengeschäft. Wir stärken damit unsere Position in Europa und Lateinamerika, wichtigen Regionen für den Sonnenblumenanbau, und erweitern unser Produktangebot für Landwirte“, sagte Davor Pisk, Chief Operating Officer Syngenta Seeds.

Sonnenblumenöl ist ein hochwertiges Pflanzenöl. Es enthält wenig gesättigte Fette und wird vor allem im Nahrungsmittelbereich verwendet. Weltweit werden Sonnenblumen auf rund 24 Millionen Hektar angebaut. Die wichtigsten Anbauländer sind Russland, Ukraine, Argentinien, Frankreich sowie Osteuropa. Der globale Markt für Sonnenblumensaatgut wird derzeit auf rund USD 700 Millionen geschätzt, mehr als 75% tragen dazu die Schwellenländer bei.

Die Transaktion bedarf der Genehmigung durch die Aufsichtsbehörden.

Syngenta a annoncé aujourd’hui la signature d’un accord portant sur le rachat des activités mondiales de semences de tournesol hybrides de Monsanto contre paiement comptant de USD 160 millions. Cet accord inclut le matériel génétique, la recherche et le développement de semences de tournesol hybrides. Cette activité a généré un chiffre d’affaires de USD 75 millions au cours de l’exercice 2008 et occupe une position leader sur divers marchés clés. La division semences de tournesol de Syngenta est quant à elle leader mondial, avec un chiffre d’affaires de plus de USD 200 millions en 2008.

«Cette acquisition complète idéalement nos activités mondiales sur le marché du tournesol. Elle renforcera notre position en Europe et en Amérique latine, deux régions clés dans la culture du tournesol, et nous permettra d’étoffer notre offre aux producteurs», a déclaré Davor Pisk, Chief Operating Officer Syngenta Seeds.

L’huile de tournesol est une huile végétale de haute qualité contenant peu de graisses saturées et destinée principalement à un usage alimentaire. À l’échelle mondiale, environ 24 millions d’hectares sont consacrés à la culture du tournesol. Les principaux pays producteurs de tournesol sont la Russie, l’Ukraine, l’Argentine, la France et l’Europe centrale. Le marché des semences de tournesol est estimé à environ USD 700 millions, les marchés en développement représentant plus de 75 % du chiffre.

La transaction est soumise à l’approbation des autorités de contrôle.
