Hoechst Schering AgrEvo GmbH (AgrEvo) announced today
that it has signed a definitive agreement to acquire the Brazilian seed companies Sementes
Ribeiral Ltda. (Ribeiral) and Sementes Fartura Ltda. (Fartura),
as well as the corn research company Mitla Pesquisa Agricola Ltda.
(Mitla). AgrEvo has agreed to acquire 100% of the three companies for an undisclosed
amount.
Ribeiral and Fartura were formed in 1973 and 1976 respectively. Mitla was formed in 1993
as the joint corn research company of Ribeiral and Fartura. The combined turnover of the
three companies in 1998 was approximately 16 mill Reais (ca. 9 mill USD). Together in
Brazil, the companies account for approximately 8% of the hybrid corn seed market. The
companies are also active in the production and marketing of soybean and sorghum for the
Brazilian market. Together, they have 132 employees

Gerhard Prante, CEO of AgrEvo. With approximately 13 million hectares of corn production,
Brazil is the single largest tropical corn seed market.
Earlier this year AgrEvo acquired the Proagro Group of seed companies in India, another
major tropical seed market. Proagro is the market leader in corn in India and a good fit
to our current acquisition in Brazil. Dr. Prante added that "Brazil is clearly poised
to become one of the world's leading agricultural countries. With Ribeiral, Fartura and
Mitla we are well positioned to play an important role in this country's growing seed
market. We are now active in corn, sorghum, soybean, cotton and rice in Brazil. With these
new businesses in-house we are able to offer Brazilian farmers solutions for their needs
for major crops, including superior seed genetics,
biotechnology traits and crop protection products." Last year, AgrEvo also announced
the acquisition of Brazil's leading rice breeding programme from Granja 4 Irmaos S.A., and
the launch of AgrEvo Cotton Seed International.
According to Jose Ribeiro, President of Ribeiral, the agreement with AgrEvo marks a
crucial strategic advance for the company. "The Brazilian seed market is becoming
increasingly technology driven and our farmers require and demand access to the latest
advances in seed genetics, including advances coming from biotechnology. In addition to
our long and valued relationship with EMBRAPA, we will now also have full access to
AgrEvo's biotechnology portfolio and impressive R&D organisation." EMBRAPA is the
leading national agricultural research organisation of Brazil and an important developer
of corn and other germplasm. Dr. Ricardo Magnavaca, former President of the National
Centre of Corn and Sorghum at EMBRAPA and current Director of Mitla, will continue to head
the company's R&D programme. Dr. Magnavaca has spent nearly 30 years in corn R&D
in Brazil.
Ricardo Merola, President of Fartura, added that the agreement with AgrEvo will
significantly enhance the position of Fartura's and Mitla's proprietary research.
"Mitla has one of the strongest proprietary breeding programmes in tropical corn in
Brazil. With AgrEvo, Mitla and Fartura are
now backed by one of the world's largest crop production companies. This is very good news

AgrEvo is a global player in Biotechnology, Seeds, Crop Protection and Environmental
Health. The company markets a wide range of products for enhancing crop production,
together with applications for urban pest control. AgrEvo operates in more than 70

1998 Hoechst AG and Rhône-Poulenc SA announced their intention together with Schering AG
to merge their agricultural interests to form Aventis CropScience.
Sementes Ribeiral and Sementes Fartura produce and market hybrid corn and sorghum, as well
as soybean. Ribeiral and Fartura are respectively headquartered in Patos de Minas/Minas
Gerais and St. Helena de Goias/Goias, Brazil. Mitla is a foundation corn seed company
engaged in the breeding and development of proprietary corn parent lines and hybrids.

Hoechst Schering AgrEvo GmbH (AgrEvo) hat heute ein Abkommen über den Erwerb der
brasilianischen Saatgutunternehmen Sementes Ribeiral Ltda. (Ribeiral) und Sementes Fartura
Ltda. (Fartura) sowie des in der Maisforschung tätigen Unternehmens Mitla Pesquisa
Agricola Ltda. (Mitla) unterzeichnet. AgrEvo beabsichtigt, diese drei Firmen zu 100% für
einen nicht genannten Betrag zu erwerben.
Riberal und Fartura wurden 1973 bzw. 1976 gegründet. Mitla entstand 1993 als
Gemeinschaftsunternehmen von Ribeiral und Fartura für Maisforschung. Der Gesamtumsatz der
drei Firmen betrug in 1998 16 Mio. Real (ca. 9 Mio. USD). Ihr Anteil am brasilianischen
Hybridsaatgutmarkt für Mais beläuft sich auf ca. 8%. Weiterhin produzieren und
vermarkten sie Sojabohnen und Sorghum für den brasilianischen Markt. Die drei Unternehmen
beschäftigen zusammen 132 Mitarbeiter.

Brasilien der größte einzelne Saatgutmarkt für tropischen Mais.
Der Erwerb der indischen Proagro-Gruppe - in Indien Marktführer für tropisches
Maissaatgut - durch AgrEvo zu Beginn des Jahres wird durch die Akquisition der
brasilianischen Firmengruppe ideal ergänzt. Dr. Prante meinte weiter, daß
"Brasilien eine der führenden Agrarnationen der Zukunft sein wird. Durch den Erwerb
von Ribeiral, Fartura und Mitla sind wir in Brasilien in den Kulturen Mais, Sorghum,
Sojabohne, Baumwolle und Reis aktiv. Wir sind somit in der Lage, ein wichtiger Partner
für die brasilianischen Landwirte in deren Hauptkulturen für Saatgut, biotechnologisch
bedingte neue Eigenschaften, wie z. B. Insektenresistenz, und Pflanzenschutz zu
sein." Im vergangen Jahr hatte AgrEvo mit Granja 4 Irmaos S.A. das führende
brasilianische Reiszüchtungsprogramm erworben sowie die Gründung AgrEvo Cotton Seed
International bekannt gegeben.
Für Jose Ribeiro, Präsident von Ribeiral, bedeutet das Abkommen mit AgrEvo einen
entscheidenden strategischen Fortschritt für das Unternehmen: "Der brasilianische
Saatgutmarkt wird zunehmend von neuen Technologien bestimmt. Unsere Landwirte benötigen
und fordern Zugang zu den neuesten Ergebnissen der Saatguttechnologie, die die

Entwicklungsprogramme von Mitla leiten. Dr. Magnavaca beschäftigt sich seit fast 30
Jahren mit der Forschung und Entwicklung von Mais in Brasilien.
Ricardo Merola, Präsident von Fartura, ergänzte, daß mit dem Abschluß eine bedeutende
Verbesserung der Forschungsprogramme von Fartura und Mitla einhergeht. "Mitla besitzt
eines der stärksten Züchtungsprogramme für tropischen Mais in Brasilien. Mitla und
Fartura werden von nun an mit AgrEvo von einem der weltweit führenden
Pflanzenproduktionsunternehmen unterstützt. Dies sind sehr gute Nachrichten sowohl für
