Position description summary:
The Associate Legal Counsel will provide legal advice, guidance and support to ensure that the company’s regional area exposure to legal risk is managed. This position will identify, formulate, coordinate and communicate policies, procedures and controls to ensure that designated regional area risk exposure is effectively managed. The Associate Legal Counsel provides legal support and counseling for the designated areas under the direction of the General Counsel.
The primary responsibilities for this position include, but are not limited to:

Supports the General Counsel in a broad range of legal areas, including but not limited to: contracts, product performance liability, licensing, intellectual property, distribution, antitrust, human resources, real estate, corporate law, litigation, dispute resolution and insurance/risk management, in both US and foreign subsidiary operations within the AMPA (Americas and Pacific) region.

Supports the General Counsel in providing advice on corporate legal issues and business related matters to members of senior management of both the company and its subsidiaries.

Supports the General Counsel in providing counsel and developing and conducting legal training for business partners in the areas of product liability risk, records and information management, labor and employment matters.

Provides counsel on HR matters and assists with U.S. employment issues and/or potential litigation.

Advises assigned business/function by ensuring that commercially sensitive, pragmatic and practical legal support and advice is provided in a cost-effective manner.

Implements legal policies to ensure that the company's exposure to legal risks is managed appropriately.

Participates and collaborates in key planning sessions for organizational change and re-structuring.

Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters.

Drafts, reviews and negotiates contracts with different customers, vendors and strategic partners internally and externally.

Provides assistance with certain investigations, including HR-related investigations, and third party subpoena requests.
Qualifications:

Juris Doctor Degree and a member in good standing of the State Bar of California.

Minimum 3-5+ years of experience as a corporate lawyer or in a law firm. MBA a plus.

English and Spanish language fluency required. A third language a plus.

Strong understanding of working environment and culture of Latin America- LATAM region.

Proficiency with personal computers as well as pertinent mainframe systems and software packages.
Skills required:

Strong contract review, negotiation and management experience.

Possess thorough knowledge of legal principles and application to business.

Strong knowledge of the legal environment and regulatory framework in which the company operates.

Knowledge of risk management.

Excellent written and oral communication and interpersonal skills with the ability to listen effectively, respond appropriately, and maintain a mutual comfort level while relating to a diverse workforce.

Strong advocacy, negotiation, managerial, interpersonal, organizational, legal research skills are essential.

Ability to travel 10-15%.
