Dow AgroSciences LLC, a wholly owned subsidiary of The Dow Chemical Company (NYSE: DOW), has divested its European Dithane® fungicide business to Indofil Industries Ltd. of Mumbai, India.
The agreement includes only Dithane® products sold in Europe and does not include other parts of the Dow AgroSciences’ Dithane business.
Indofil, part of India’s K.K. Modi Group, has purchased the rights and associated trademarks of Dithane® only in Europe, exclusive rights to use the patented NT technology and related trademarks in Europe, Dithane® registrations and data to support these, and the customer contracts which can be assigned.
“Dow AgroSciences remains committed to the Dithane® business in other parts of the world where we have production assets and are better able to compete over time,” says David Hindes, Global Fungicide Business Leader. “This divestment will allow us to focus our European investment on new novel chemistries in the future.”

The companies are working together to ensure a seamless transition and minimal impact to customers, distributors, and dealers.
Financial terms of the agreement were not disclosed.

L'accord concerne uniquement les produits Dithane® vendus en Europe et n'inclut pas d'autres segments de l'activité de production du Dithane par Dow AgroSciences.
Indofil, filiale du K.K. Modi Group, une grande société indienne, a acquis les droits et les marques associées de Dithane® uniquement en Europe, les droits exclusifs d'utilisation de la technologie brevetée NT et les marques associées en Europe, les enregistrements de Dithane® et les documents à l'appui, ainsi que les contrats conclus avec les clients pouvant être cédés.

Von der Vereinbarung sind nur die in Europa vertriebenen Dithane®-Produkte betroffen. Sonstige Geschäftsbereiche des Dithane-Geschäfts von Dow AgroSciences sind daraus ausgeschlossen.
Indofil, ein Teil der indischen K.K. Modi Group, hat die Rechte und damit verbundenen Marken von Dithane® nur für Europa erworben, die Exklusivrechte für die Nutzung der patentierten NT-Technologie und damit verbundene Marken in Europa, die Anmeldungen für Dithane® sowie die zugrunde liegenden Daten und die zuordnungsfähigen Kundenvereinbarungen.
