Syngenta announced today an agreement to acquire the German and Polish winter wheat and winter oilseed rape (WOSR) breeding and business operations of Lantmännen, the Swedish food, energy and agriculture group.
Syngenta will gain access to high-quality germplasm, a seeds pipeline and commercial varieties which complement the company’s portfolio in two of Europe’s most important crops. Lantmännen employees in Germany and Poland will also join Syngenta.
The deal will support the continued development of hybrid cereals to growers worldwide. In WOSR, Syngenta will strengthen its breeding program, enabling the development of highly competitive hybrids with yield stability and winter hardiness as well as broader disease resistance.
As part of the transaction, Syngenta and Lantmännen will also enter into an R&D collaboration in wheat, and Lantmännen will distribute Syngenta cereals and WOSR seeds in Sweden.
Syngenta Chief Operating Officer, John Atkin, said: “This acquisition reinforces our position in the important cereals and WOSR markets of Germany and Poland, and immediately enables us to market Lantmännen seed for these crops in both countries. We will also incorporate their high-quality genetics into our international breeding programs to develop seeds that offer significant productivity benefits to growers.”
Lantmännen Head of the Agriculture Sector, Johan Andersson, said: “Through this deal Lantmännen will get the opportunity to commercialize Syngenta cereals and oilseed rape seeds in our home market. We will continue the breeding activities in Sweden and Holland in winter and spring wheat, spring barley, oats, triticale, spring oilseed rape, forage crops, willow and potatoes. Lantmännen will also continue to market seeds of these crops in Sweden as well as the international markets.”
Financial details were not disclosed. The transaction is subject to approval by the German competition authority and is expected to close in July 2014.

Syngenta gab heute eine Vereinbarung mit Lantmännen, dem schwedischen Lebensmittel-, Energie- und Agrarkonzern, zur Übernahme des deutschen und polnischen Winterweizen- und Winterraps-Geschäfts sowie der dazugehörigen Züchtungsprogramme bekannt.
Syngenta erhält damit Zugang zu hochwertiger Genetik, einer Saatgut-Pipeline und Handelssorten, die das Portfolio von Syngenta bei diesen für Europa wichtigen Kulturen ergänzen. Die Mitarbeitenden von Lantmännen in Deutschland und Polen werden von Syngenta übernommen.
Die Vereinbarung wird die weitere Entwicklung von Hybridgetreide für Landwirte auf der ganzen Welt fördern. Im Bereich Winterraps verstärkt Syngenta ihr Züchtungsprogramm und ermöglicht damit die Entwicklung wettbewerbsfähiger Hybridsorten, die ertragsstabil und winterhart sind und eine breitere Krankheitsresistenz aufweisen.
Im Rahmen der Transaktion werden Syngenta und Lantmännen auch eine Forschungs- und Entwicklungszusammenarbeit im Bereich Weizen aufnehmen. Zudem wird Lantmännen in Schweden Saatgut von Syngenta für Getreide und Winterraps vertreiben.
John Atkin, Chief Operating Officer von Syngenta, sagte: „Dieses Geschäft verstärkt unsere Position in den beiden wichtigen Getreide- und Winterrapsmärkten Deutschland und Polen, und ermöglicht es uns gleichzeitig, in beiden Ländern Saatgut von Lantmännen für diese Kulturen anzubieten. Ausserdem werden wir ihre hochwertige Genetik in unsere internationalen Züchtungsprogramme aufnehmen, um so Saatgut zu entwickeln, das Landwirten massgebliche Ertragsvorteile bietet.“
Johan Andersson, Leiter des Agrarbereichs von Lantmännen, sagte: „Diese Vereinbarung ermöglicht Lantmännen, Getreide- und Rapssaatgut von Syngenta in unserem heimischen Markt anzubieten. Die Züchtungsaktivitäten in Schweden und den Niederlanden werden wir bei Winter- und Sommerweizen, Sommergerste, Hafer, Triticale, Sommerraps, Futterpflanzen, Weiden und Kartoffeln fortsetzen und das entsprechende Saatgut in Schweden sowie international vertreiben.“
Finanzielle Einzelheiten wurden nicht bekannt gegeben. Der Abschluss der Transaktion muss von dem Bundeskartellamt in Deutschland genehmigt werden und wird im Juli 2014 erwartet.

Syngenta a annoncé aujourd'hui la conclusion d’un accord portant sur l'acquisition des activités allemandes et polonaises, de sélection et de commercialisation de blé tendre et de colza d'hiver, du groupe coopératif alimentaire, énergétique et agricole suédois Lantmännen.
Cette acquisition va permettre à Syngenta d'avoir accès à un matériel génétique de première qualité, à un pipeline de semences, et à des variétés commerciales, qui complètent son propre portefeuille dans deux des cultures les plus importantes d'Europe. Des employés de Lantmännen en Allemagne et en Pologne rejoindront l'effectif de Syngenta.
L’accord permet de poursuivre le développement déjà engagé des céréales hybrides pour des agriculteurs au plan mondial. Syngenta pourra en outre renforcer son programme de sélection pour le colza d’hiver, en développant notamment de nouveaux hybrides particulièrement compétitifs sur le plan de la régularité des rendements, de la résistance aux conditions hivernales, et à la tolérance à un plus grand nombre de maladies.
L'accord conclu entre Syngenta et Lantmännen prévoit aussi une collaboration en R&D dans le domaine du blé, et la possibilité pour Lantmännen de commercialiser les céréales et les semences de colza d’hiver de Syngenta en Suède.
John Atkin, Chief Operating Officer de Syngenta, précise: «Cet accord renforce notre position sur les marchés allemand et polonais pour les céréales et le colza d’hiver, et permet de nous positionner immédiatement pour commercialiser les semences de Lantmännen pour ces cultures dans les deux pays. Nous allons également incorporer cette nouvelle génétique de haut niveau dans nos programmes de sélection internationaux pour mettre au point des semences susceptibles d’offrir des gains de productivité significatifs pour les agriculteurs.»
Johan Andersson, responsable du secteur agriculture de Lantmännen, ajoute: «Dans le cadre de cet accord, Lantmännen pourra commercialiser les céréales et les semences de colza Syngenta sur notre marché intérieur. Nous allons poursuivre, en Suède et aux Pays-Bas, les activités de sélection sur blé d'hiver et de printemps, orge de printemps, avoine, triticale, colza de printemps, céréales fourragères, saules et pommes de terre. Lantmännen va également continuer de commercialiser les semences de ces cultures en Suède et sur les marchés internationaux.»
Les détails financiers de l'accord n'ont pas été divulgués. La transaction doit être soumise à l’autorité de la concurrence allemande, et devrait être conclue en juillet 2014.
